NDA Unilateral

A non-disclosure agreement (also referred to as a confidentiality agreement) to be used when one party is sharing confidential information with another party (for example, when a company provides confidential information to a potential investor or acquiror of the business). This provides that the recipient of such information must keep the confidential information that they receive from the other party as confidential. The letter sets out the scope of the confidential information, who the information can be disclosed to and certain exceptions to the general confidentiality obligation.
